Contract Negotiation to Protect Profitability

Professional service agreements constitute the foundation for consulting engineering practice. But not all firms use appropriate and protective contract forms. Even those who do may face opposition by prospective clients or their attorneys. And onerous contract language can threaten the very viability of the engineering firm. New challenges are appearing and language proposed in client-developed contracts may significantly change the status, duties, compensation, and contractual and professional liability risks of engineering firms.

This webinar will explain the difference between contractual and professional liability and look at the importance of clear, reasonable, and coordinated contractual provisions. In addition, the program will analyze provisions of non-standard professional services agreements and examine the changing contractual issues caused by recent challenges including the Covid-19 influence on professional services, the evolving standard of care related to concerns over climate change, and other contractual developments that threaten the traditional practice of consulting engineering firms.

Frank Musica is a graduate of the College of Engineering of the University of Notre Dame. After working for design firms in Chicago, he returned to Notre Dame to teach and to obtain both a Masters in Business Administration and a law degree. Following a decade of practice in architecture, engineering and planning--including serving as in-house legal counsel in the management of an international design firm--Frank held staff positions in the national professional organizations for architects and engineers before joining the Victor risk management program.

Nahom Gebre is a registered professional engineer who practiced civil engineering prior to his involvement with risk management issues. His background includes service as in-house counsel and project manager for a large engineering firm.Nahom received his Bachelor of Science in Civil Engineering from Washington University and his Juris Doctor from Tulane University Law School.
Nahom and Frank provide educational and management assistance services to Victor Insurance and CNA policyholders. In addition to their years in the practice of engineering, they have a combined 40 years of experience in providing risk management services. The Victor risk management program develops guidance from its base of professional liability claims information and looks ahead at changes in the marketplace for professional services, in the legal treatment of design professionals, and in the interaction between technological and information management advances and practice management techniques and responsibilities.
In addition to working directly with policyholders, both Nahom and Frank interact with associations, government agencies, and clients of the design industry, and create serial and special interest publications on risk management techniques including webinars, blog posts for, and website publications for
